Who Needs an 83(b) Election?
Delaware C-Corp Founders
If you incorporated in the US and your founder shares vest over time, file 83(b) on day one. The stock is worth almost nothing now — don't pay tax when it's worth millions.
Early Employees
If you receive restricted stock (not options) as an early employee, filing 83(b) means you pay tax on the low grant-date value, not the high vesting-date value.
Early Option Exercisers
If you exercise unvested options early (common in California startups), you receive restricted stock and should file 83(b) on the exercised shares.
