Terms of Engagement

1. Scope of Services
These Terms of Engagement govern the provision of professional services by eSignHub, including but not limited to:
- Enterprise implementation and integration services
- Custom template development
- API integration consulting
- Training and onboarding services
- Dedicated support and account management
2. Client Responsibilities
To ensure successful delivery of services, the Client agrees to:
- Provide timely access to necessary systems and personnel
- Designate a primary point of contact for project communications
- Review and approve deliverables within agreed timeframes
- Provide accurate and complete information as requested
- Comply with all applicable laws and regulations
3. Service Delivery
eSignHub will perform services in a professional manner consistent with industry standards. We will:
- Assign qualified personnel to perform the services
- Communicate regularly about project progress
- Deliver services according to agreed timelines
- Maintain confidentiality of Client information
4. Fees and Payment
Service fees will be outlined in the applicable Statement of Work (SOW) or Order Form. Unless otherwise specified:
- Fees are due within 30 days of invoice date
- Travel expenses will be billed at cost plus 10%
- Changes in scope may result in additional fees
- Late payments may incur interest at 1.5% per month
5. Intellectual Property
Unless otherwise agreed in writing, all intellectual property created during the engagement shall be owned by eSignHub. The Client receives a perpetual, non-exclusive license to use any deliverables for their internal business purposes.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives for five (5) years following the termination of services.
7. Limitation of Liability
eSignHub's total liability for claims arising from services shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim. In no event shall either party be liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate the engagement with 30 days written notice. Upon termination, the Client shall pay for all services rendered through the termination date.
